Inspry Acceptable Use Policy (AUP)

This Acceptable Use Policy (“AUP”) is entered into by and between Inspry Media LLC, doing business as Inspry, a Georgia corporation, with principal offices located at 50 Lenox Pointe NE, Suite C, Atlanta, GA 30324 (“Inspry”), and Client. This AUP describes certain requirements and prohibited uses of the Services offered by Inspry to Client. This AUP is incorporated by reference into the Master Services Agreement (“MSA”) between Client and Inspry. Capitalized terms used but not defined herein have the meanings given to them in the MSA and in the Service Level Agreement (“SLA”).

Inspry may modify this AUP upon fifteen (15) days’ notice to Client, which notice may be provided by posting a modified AUP at https://www.inspry.com/acceptable-use-policy, as indicated by the updated date at the top of this AUP. By registering for and using the Services, and thereby accepting the terms and conditions of the MSA, Client agrees to abide by this AUP as modified from time to time. No SLA credits or refunds will be issued under the SLA for any interruption in Services resulting, in whole or in part, from a violation of this AUP.

VIOLATION OF THIS AUP IS STRICTLY PROHIBITED AND MAY RESULT IN THE IMMEDIATE SUSPENSION OR TERMINATION OF CLIENT’S ACCOUNT AND THE SERVICES CLIENT RECEIVES FROM INSPRY, OR SUCH OTHER ACTION AS INSPRY DEEMS APPROPRIATE IN ITS REASONABLE DISCRETION. CLIENT REMAINS SOLELY LIABLE AND RESPONSIBLE FOR ITS USE OF THE SERVICES AND FOR ANY AND ALL CONTENT THAT CLIENT DISPLAYS, UPLOADS, STORES ON, DOWNLOADS, OR TRANSMITS THROUGH THE SERVICES. “CONTENT” INCLUDES, WITHOUT LIMITATION, EMAIL, WEB PAGES, FILES, TEXT, MESSAGES, DATA, FORM DATA, AND DOMAIN NAMES. IT IS INSPRY’S POLICY TO TERMINATE REPEAT INFRINGERS. INSPRY RESERVES THE RIGHT TO REFUSE SERVICE TO ANYONE AT ANY TIME.

The parties agree as follows:

1. INTERNET ETIQUETTE
1.1. Client is expected to be familiar with and to practice good internet etiquette.
1.2. Client will comply with the rules appropriate for any network to which Inspry may provide access.
1.3. Client should not publicly post, transmit, or permit internet access to information that Client wishes to keep confidential.
1.4. Client will not post any material that is illegal, libelous, tortious, indecently depicts children, or is likely to result in retaliation against Inspry by offended users.

2. NO HIGH-RISK USE
2.1. Client shall not use the Services in any situation where failure or fault of the Services could lead to death or serious bodily injury of any person, or to physical or environmental damage, including in connection with aircraft, motor vehicles, or other modes of human mass transportation, or nuclear or chemical facilities.

3. CLIENT SECURITY RESPONSIBILITIES
3.1. If Client’s website, server, or account is involved in a suspected or actual security breach, or in an attack on another server or system (collectively, a “security event”), the affected Services may be shut down or disabled and Inspry may launch an immediate investigation to determine the cause and source of the security event. Client is solely responsible for any security event affecting Services or servers under Client’s control where the security event results, in whole or in part, from the acts or omissions of Client or Client’s users, from security issues within Client’s website, or from the acts or omissions of anyone using Client’s logins, databases, websites, or other credentials.
3.2. Client is responsible for the cost of any work required to rectify damage done to Client’s website, server, account, and any other systems affected by the security event, charged in accordance with the MSA and the SLA.

4. SYSTEM AND NETWORK SECURITY
4.1. Violations of system or network security are prohibited and may result in criminal and civil liability. Inspry may investigate incidents involving such violations and may involve, and require Client’s full cooperation with, law enforcement if a criminal violation is suspected. Examples of system or network security violations include, without limitation, the following:
4.1.1. unauthorized access to or use of data, systems, or networks, including any attempt to probe, scan, or test the vulnerability of a system or network, or to breach security or authentication measures, without the express authorization of the owner of the system or network;
4.1.2. unauthorized monitoring of data or traffic on any network or system without the express authorization of the owner of the system or network;
4.1.3. interference with service to any user, host, or network, including mail bombing, scanning, flooding, deliberate attempts to overload a system, and broadcast attacks; and
4.1.4. forging any TCP/IP packet header, or any part of the header information, in an email, message, or online posting.
4.2. Violators of this section are responsible, without limitation, for the cost of labor to clean up and correct any damage done to the operation of the network and the business operations supported by the network, and to respond to complaints incurred by Inspry.
4.3. Inspry is concerned with the privacy of online communications and websites. In general, the internet is neither more nor less secure than other means of communication, including mail, facsimile, and voice telephone service, all of which can be intercepted or otherwise compromised. As a matter of prudence, Inspry urges Client to assume that all online communications are insecure unless specific measures are used to secure them.

5. PASSWORD AND ACCOUNT PROTECTION
5.1. Client is responsible for protecting its users’ passwords and for any authorized or unauthorized use made of those passwords.
5.2. Client will not use, or permit anyone to use, the Services to guess passwords or to access other systems or networks without authorization.
5.3. Client will cooperate fully with law enforcement authorities in the detection and prosecution of illegal activity related to account and password security.
5.4. Client is solely responsible for maintaining the security of its accounts and passwords and for preventing their unauthorized use. If Client becomes aware, or suspects, that an unauthorized person has obtained access through its account, Client shall immediately notify Inspry, change the affected passwords, and take any other reasonable steps recommended by Inspry to enhance the account’s security.

6. NETWORK ABUSE
6.1. Client has a responsibility to use Inspry’s network responsibly, which includes respecting Inspry’s other clients. Inspry reserves the right to suspend or cancel Client’s Services if Client uses the network in a way that adversely affects other clients. Prohibited conduct includes, without limitation, the following:
6.1.1. attacking or attempting to gain unauthorized access to servers or services belonging to Inspry or its clients, including computer hacking and unauthorized penetration testing;
6.1.2. effecting security breaches or disruptions of internet communication or connectivity. Security breaches include, but are not limited to, accessing data of which Client is not an intended recipient, and logging into a server or account that Client is not expressly authorized to access. For purposes of this section, “disruption” includes, but is not limited to, port scans, ping flooding, email bombing, packet spoofing, IP spoofing, and forged routing information;
6.1.3. participating in behavior that results in reprisals adversely affecting Inspry’s network or other clients’ access to it, including denial of service and distributed denial of service attacks;
6.1.4. using the Services in such a way that the network or the Services are overloaded and service is degraded or denied to other clients;
6.1.5. introducing malicious programs into the network or a server, including viruses, worms, trojans, and other executables intended to inflict harm; and
6.1.6. operating cryptocurrency mining software, botnet command and control infrastructure, open proxies or relays, or peer-to-peer file distribution nodes, whether or not related to the operation of Client’s website.
6.2. Inspry prohibits any use or attempted use of an internet account or computer without the owner’s authorization. Such attempts include, but are not limited to, phishing (tricking other people into disclosing their passwords), password theft, security hole scanning, and port scanning. Any unauthorized use of accounts or computers by Client, whether or not the targeted account or computer belongs to Inspry, will result in action being taken against Client. Possible actions include warnings, suspension or cancellation of Services, and civil or criminal legal action, depending on the seriousness of the conduct. Any attempt to undermine or cause harm to a server or to another client of Inspry is strictly prohibited.
6.3. Violations of this section may be reported to the Federal Bureau of Investigation’s Internet Crime Complaint Center (IC3) at https://www.ic3.gov. Client will cooperate fully with any civil or criminal litigation arising from a violation of this section.

7. EMAIL AND ANTI-SPAM
7.1. Client agrees to comply with all email and anti-spam laws, including the CAN-SPAM Act, as set forth in the MSA.
7.2. Inspry takes a zero-tolerance approach to the sending of unsolicited commercial email (“UCE” or “spam”) over its network. Client may not use, or permit others to use, Inspry’s network to transact in UCE. Client may not host, or permit the hosting of, sites or information that is advertised by UCE sent from other networks. Violations of this section carry severe penalties, including termination of Services.
7.3. Sending an unsolicited message, especially an advertisement, to multiple recipients is by itself spamming unless the recipients have specifically requested to be added to a mailing list on that topic or have an existing business or personal relationship with the sender. This includes both commercial advertisements and informational messages sent to recipients by email, as well as off-topic messages where the recipient has not requested or invited the message.
7.4. Upon notification of an alleged violation of this section, Inspry may initiate an immediate investigation. During the investigation, Inspry may restrict Client’s access to the network to prevent further violations. If Client is found to be in violation, Inspry may, in its reasonable discretion, restrict, suspend, or terminate Client’s account and block IP addresses or email addresses that Inspry believes to be the source of the spam. Inspry reserves the right to pursue civil remedies for any costs associated with the investigation of a substantiated violation, and may notify law enforcement officials if the violation is believed to be a criminal offense.
7.5. Where Inspry incurs costs investigating or remediating a violation of this section, including responding to complaints, obtaining removal from email blocklists, and cleaning up an affected account, those costs are billable to Client at Inspry’s then-current Hourly Rate.
7.6. Violations of this section should be reported using the contact form at https://www.inspry.com/contact/.
7.7. Email sending volume limits applicable to Client’s Managed WordPress Support Program are set out in the SLA.

8. LAWFUL PURPOSE AND PROHIBITED CONTENT
8.1. The Services and Inspry’s network may be used for lawful purposes only. The transmission, distribution, storage, or presentation of any information, data, or material in violation of any applicable law or of this AUP is prohibited. This includes, but is not limited to, the misuse of material protected by copyright, trademark, trade secret, or other intellectual property right, and the dissemination of harmful or fraudulent content. Examples of unacceptable content include, but are not limited to, the following:
8.1.1. pirated software, including warez or any other commercial software that Client does not have the legal right to distribute;
8.1.2. serial numbers and license keys for commercially available software that Client does not have the legal right to distribute;
8.1.3. music, film, television, image, or other media files, or compressed archives containing such files, that Client does not have the legal right to distribute;
8.1.4. child sexual abuse material, or depictions of rape or bestiality;
8.1.5. security circumvention software or archives, and any content that facilitates identity theft, payment card fraud, or any other type of fraud;
8.1.6. torrent files and trackers that facilitate the download of any material listed in this section; and
8.1.7. any software that facilitates any activity prohibited by this AUP.
8.2. Using any of the Services for the purpose of participating in any activity dealing with subject matter that is prohibited under applicable law is a violation of this AUP.
8.3. Any conduct that constitutes harassment, fraud, stalking, or abuse in connection with the use of the Services is prohibited.
8.4. Using Inspry’s network to solicit the performance of any illegal activity is prohibited, even if the activity itself is not performed. In addition, knowingly receiving or downloading a file that cannot be legally distributed, even without the act of distribution, is prohibited.
8.5. Servers hosted within Inspry’s network may be open to the public. Client is solely responsible for its use of Inspry’s network and servers, and any public statement Client makes on servers hosted within Inspry’s network may be deemed publication of the information entered. Acknowledging the foregoing, Client specifically agrees not to use the Services in any manner that is illegal or libelous.
8.6. Inspry prohibits the use of the Services to display, distribute, or store pornographic material of any kind, including where such material is not publicly available.
8.7. If Client suspects that any person is engaging in illegal or fraudulent activity in connection with the Services, Client should report it using the contact form at https://www.inspry.com/contact/. Please note that Inspry is limited in its ability to review fraudulent activity that may occur outside of the Services, or to assess the legality of certain activities, and may require that persons work with law enforcement to validate the fraudulent nature or the illegality of the activity before Inspry is able to take action related to a reported violation.
8.8. Inspry will determine, in its reasonable discretion, what constitutes a violation of this section.

9. EXPORT CONTROL AND SANCTIONS
9.1. Client shall comply with all applicable export control, economic sanctions, and trade laws, including those administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”) and the U.S. Department of Commerce’s Bureau of Industry and Security.
9.2. Client represents and warrants that it is not, and is not owned or controlled by, a person or entity that is the subject of economic sanctions, and that it is not located or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions. Client further warrants that it will not use the Services on behalf of any such person, entity, country, or territory.
9.3. Inspry may decline to provide, or may suspend, the Services where doing so is necessary to comply with the laws referenced in this section. The applicable sanctions programs and restricted parties are those maintained and published by OFAC, as amended from time to time.

10. CHILD SEXUAL ABUSE MATERIAL
10.1. Inspry has zero tolerance for child sexual abuse material (“CSAM”). Client shall not use the Services to produce, store, transmit, distribute, or provide access to CSAM, as defined at 18 U.S.C. 2256, or to any other content that sexually exploits a minor.
10.2. Client is ultimately responsible for the actions of its users on Inspry’s network and will be liable for illegal material posted by those users.
10.3. Where required by 18 U.S.C. 2258A, Inspry will report apparent CSAM to the National Center for Missing and Exploited Children (“NCMEC”), will preserve material as required by law, and will suspend or terminate the affected account immediately. Client shall cooperate fully with any criminal investigation into a violation of this section.
10.4. Suspected child sexual exploitation may be reported to the NCMEC CyberTipline at https://report.cybertip.org or 1-800-843-5678.

11. COPYRIGHT
11.1. Making unauthorized copies of software is unlawful, no matter how many copies are made. If Client copies, distributes, or installs software in ways that the applicable license does not allow, Client is violating federal copyright law and may be liable under both civil and criminal law.
11.2. It is Inspry’s policy to terminate, in appropriate circumstances, the accounts of any Client or user who is a repeat infringer.
11.3. Notices of claimed copyright infringement relating to material hosted by Inspry may be submitted using the contact form at https://www.inspry.com/contact/, or in writing to the postal address in section 16.1. To be effective, a notice should include the information described at 17 U.S.C. 512(c)(3), including identification of the copyrighted work claimed to have been infringed, identification of the material claimed to be infringing and information reasonably sufficient to locate it, the complaining party’s contact information, a statement that the complaining party has a good faith belief that the use is not authorized by the copyright owner or the law, and a statement, made under penalty of perjury, that the information in the notice is accurate and that the complaining party is authorized to act on behalf of the copyright owner.

12. HOSTING AND RESOURCE USE
12.1. This section applies where Inspry provides website hosting to Client under the Managed WordPress Support Program.
12.2. Hosting accounts are provided for the purpose of setting up, configuring, and operating Client’s websites and web applications. Client shall not use a hosting account to run servers, daemons, or background processes that are unrelated to the operation of the hosted website. Scheduled tasks and background processing that form part of the normal operation of the hosted application, such as WordPress cron, queue and scheduler processes, and backup routines, are permitted.
12.3. Any use of Inspry’s hosting resources that disrupts or interferes with the normal use of the system by other clients, with the integrity or performance of the Services, or that diminishes the security of the server, is considered an abuse of system resources and is grounds for administrative intervention. Examples of system abuse include spawning an excessive number of processes, consuming excessive amounts of memory, CPU, or server bandwidth, mass emailing using internal or external mail servers, and using amounts of disk space or cumulative bandwidth well beyond Client’s purchased limits. The remedial action taken may range from a warning to the immediate termination of Client’s Services, at Inspry’s reasonable discretion, depending on the severity of the abuse and Client’s history of abuse.
12.4. Remote access to databases hosted on Inspry servers, from servers other than those provided by Inspry, is permitted for administrative use only. Databases hosted on Inspry servers are not to be used as back-end databases for public websites hosted with other service providers, or in other configurations that could result in significant numbers of concurrent remote connections or significant sustained remote access.
12.5. Development, staging, and testing environments provisioned or approved by Inspry are permitted. Client shall not use a production hosting account as a general-purpose development environment, or as file storage unrelated to the hosted website.
12.6. Client’s obligations regarding the duplication, cloning, copying, or migration of a hosted website are set out in the SLA.

13. SUSPENSION
13.1. Inspry reserves the right to suspend access to any of Client’s Services if, in the reasonable judgment of Inspry’s network administrators, Client’s website, server, or Services are the source or target of a violation of any term of this AUP. If inappropriate activity is detected, all of Client’s accounts may be deactivated until an investigation is complete. Prior notification to Client is not assured. In extreme cases, law enforcement will be contacted regarding the activity. Client will not be credited for the time Client’s Services were suspended.

14. CANCELLATION
14.1. Inspry reserves the right to cancel Client’s Services at any time if inappropriate activity is detected. All of Client’s accounts may be deactivated until an investigation is complete. Prior notification to Client is not assured. In extreme cases, law enforcement will be contacted regarding the activity.
14.2. All fees paid in advance of cancellation will be refunded on a prorated basis at the reasonable discretion of Inspry, where Inspry institutes its right of cancellation under this section. Any violation of this AUP that results in additional costs to Inspry may be billed to Client.

15. DISCLAIMER OF RESPONSIBILITY TO MONITOR
15.1. INSPRY IS UNDER NO DUTY TO MONITOR CLIENT’S OR ANY USER’S ACTIVITIES TO DETERMINE WHETHER A VIOLATION OF THIS AUP HAS OCCURRED, NOR DOES INSPRY ASSUME ANY RESPONSIBILITY THROUGH THIS AUP TO MONITOR OR POLICE INTERNET-RELATED ACTIVITIES.
15.2. INSPRY DISCLAIMS ANY RESPONSIBILITY FOR ANY SUCH INAPPROPRIATE USES AND DISCLAIMS ANY LIABILITY TO CLIENT OR ANY THIRD PARTY IN RELATION TO CLIENT’S VIOLATION OF THIS AUP.
15.3. INDIRECT OR ATTEMPTED VIOLATIONS OF THIS AUP, AND ACTUAL OR ATTEMPTED VIOLATIONS BY A THIRD PARTY ON CLIENT’S BEHALF, SHALL BE CONSIDERED VIOLATIONS OF THIS AUP BY CLIENT.
